Terms of Service

Welcome! These Terms of Service (the "TOS") set forth the legally binding terms for your use of our platform and any of our online channels, products, or services, including all content contained therein ("Services").

By accessing and/or using the Services you agree to be bound by these TOS. If you do not agree with these TOS, please cease using or accessing our Services.

Our Services are intended and made available for personal, non-commercial use only. You agree not to use the Services for any commercial, illegal, or unauthorized purpose.

1. General

The Services are an online platform that uses artificial intelligence ("AI") algorithms to generate virtual and fictional characters ("AI Companions"), with whom you can chat and exchange messages. The Services also include AI-generated images. Parts of the Services may require you to create a user account and/or become a paid user.

1.1 Account

Parts of our Services may require you to create a user account ("Account"). When registering, you agree to do so only using your own login credentials and/or payment method. You are fully responsible for all activities occurring under your Account. Your Account is non-transferrable.

You agree to keep your account information current, accurate and correct at all times, and to protect the confidentiality of your password.

Any violation of these TOS may cause your Account to fall out of good standing and we may terminate your account at our sole discretion.

1.2 Paid-for Services

Some Services, features, and/or content may be available only in exchange for payment via paid subscription, token purchases, or other forms of paid-for access. You are responsible for payment of all fees, charges and taxes related to any transaction.

1.3 User Safety

We prioritize the safety and well-being of our users. You should not disclose sensitive personal information such as financial details, addresses, contact information, or passwords when using the Services.

1.4 Warranties

You understand and warrant that:

1. You are entering into these TOS only on behalf of yourself;
2. You are of the legal age to form a binding contract with us in the jurisdiction where you live and/or access the Services;
3. If you are under the legal age in your jurisdiction, you shall not access or use our Services.

2. Age Restriction

Our Services are restricted to users aged 18 and over. By using the Services, you confirm that you are at least 18 years old. We implement technical measures to enforce this requirement. Minors are strictly prohibited from accessing or using the Services.

3. Intellectual Property

The intellectual property in the Services and any embedded materials are owned by or licensed to us. You are granted a license for personal use only. This license does not constitute a transfer of title.

All intellectual property rights associated with the platform, including AI Characters, design, logos, and proprietary software, are our sole property. Users are prohibited from reproducing, modifying, distributing, or using any intellectual property without authorization.

4. Your Content

You may provide input while using the Services and receive output based on your input. Input and output are collectively referred to as "Content." You retain your intellectual property ownership rights over your input.

When you use the Services, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide, perpetual license to use, distribute, modify, and create derivative works of your Content for operating, improving, and promoting the Services, including training and enhancing our AI models.

5. Restrictions of Conduct and Content

5.1 Rules and Restrictions

In accessing and using the Services, you agree to the following:

1. You will not modify, translate, adapt or reformat any aspect of the Services;
2. You will not decompile, disassemble, or reverse-engineer any software comprising the Services;
3. You will not interfere with or circumvent any security feature of the Services;
4. You will not use the Services to gain unauthorized access to any data, systems or networks;
5. You will not use the Services in any manner that could damage, disable, or impair the Services;
6. You will not use the Services to achieve unlawful ends or commit a crime;
7. You will comply with all applicable laws in your access and use of the Services.

5.2 Content Responsibility

You are solely responsible for the output generated by the AI Companions through your input. We do not control or endorse any content generated by the AI Companions. You must ensure that your interactions comply with applicable laws and these TOS.

5.3 Content Moderation

We have implemented content moderation controls to ensure compliance with our TOS. If our moderation controls detect violations, we may review flagged content and take appropriate action, including removing content or terminating accounts. We reserve the right to reject and/or remove any content that violates our policies.

5.4 Prohibited Content

We have a zero-tolerance policy for Child Sexual Abuse Material (CSAM). Attempting to create such content is prohibited by law and our policies. We report known CSAM to the appropriate authorities.

5.5 Prohibited Uses

You may not use the Services:

• In any manner that breaches or contravenes applicable law.
• To exploit, harm, or attempt to exploit or harm minors in any way, including without limitation the solicitation, creation, acquisition, or dissemination of content that exploits children.
• To create or distribute content that is deceptive, fraudulent, misleading, or otherwise harmful.
• To create or share personally identifiable information in a way that could be used to harm someone.
• To harass, abuse, threaten, stalk, or bully any person or group.
• To create intimate imagery without consent or any illegal pornographic content.
• For fully automated decision-making or in high-risk applications that negatively affect an individual's legal rights or create or modify binding, enforceable obligations.

5.6 Safety, Monitoring and Reporting

We take the safety of our models and services seriously. We may monitor use of the Services to detect misuse or abuse and take appropriate action. We maintain a dedicated email address for community feedback and reports.

We have reporting relationships with trusted organizations across number of jurisdictions.

We welcome ongoing engagement with authorities, users, developers, and researchers to share intelligence on emerging risks and to develop effective mitigations.

6. Payments and Autorenewal

Subscriptions are set to renew automatically at the end of each subscription period. Autorenewal can be cancelled at any time in your account settings. Tokens cannot be transferred to different users or accounts, nor exchanged for money.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of the current billing period.

7.2 Refund Policy

You have 24 hours after payment to request a refund. No refunds will be issued after 24 hours, or if significant usage has occurred. Refunds are only available for payments made via card.

8. No Guarantee of Accuracy

Some content in our Services is AI-generated. There are limitations inherent in emerging AI technology, and content may not be accurate, original, unique to you, or perfectly match your preferences. We make every effort to provide the best possible technology and experience.

9. Limitation of Liability

The Services are provided on an "as-is" and "as available" basis. We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or noninfringement. We shall not be liable for any direct, indirect, special, incidental, consequential, or punitive damages arising from your use of the Services.

10. Third-Party Links

The Services may include links to third-party websites and services. We do not guarantee their safety or conformity with your expectations. We assume no liability for any damage resulting from the use of third-party content.

11. Governing Law

This TOS shall be governed by applicable laws. Any disputes shall be resolved through the appropriate legal channels in the relevant jurisdiction.

12. Changes to Terms

We reserve the right to update these TOS from time to time. Changes become effective immediately upon posting. Your continued use of the Services after changes have been posted constitutes acceptance of the updated terms.

13. Termination

These TOS will continue in effect until terminated by either you or us. You may terminate by ceasing use of the Services and cancelling any paid subscription. We may terminate your access with or without notice for any reason, including breach of these TOS.

14. Miscellaneous

If any provision of these TOS is found to be unlawful or unenforceable, that provision will not affect the validity of the remaining provisions. These TOS constitute your entire agreement with us pertaining to your use of the Services.
